[HCM] Head of Legal & Compliance

The Head of Legal & Compliance is responsible for managing the Company’s legal, compliance, governance,
contract, investigation, licensing, and regulatory matters. This role protects the Company from legal and
compliance risks while enabling business growth in a practical and timely manner.
The role works closely with Finance, People & Culture, Operations, Procurement, IT, Country Teams, and
external lawyers to ensure that contracts, licenses, policies, employee matters, compliance cases, and legal
documents are properly reviewed, managed, and documented.
A key expectation of this role is to use AI and legal technology to improve legal productivity, including contract
review support, legal research, template management, policy drafting, knowledge management, compliance
tracking, and legal process automation.
KEY RESPONSIBILITIES
A. Legal Advisory and Contract Management
- Review, draft, and support negotiation of commercial contracts, including supplier agreements, service
agreements, NDAs, lease-related documents, employment-related documents, procurement contracts, and business cooperation agreements. - Provide practical legal advice to internal teams on daily business matters.
Coordinate with external lawyers for complex legal matters, litigation, licensing, corporate filings, and country-specific legal issues. - Maintain standard contract templates, legal checklists, clause library, and contract filing discipline.
Support business teams in understanding key contract risks, approval requirements, and documentation
standards.
B. Compliance and Governance
- Support implementation of Company policies, including Code of Conduct, anti-fraud policy, conflict of interest policy, gift and hospitality policy, whistleblowing process, and investigation procedures.
- Monitor compliance with labor law, licensing requirements, personal data protection, intellectual property, consumer protection, advertising rules, and internal approval procedures.
- Support preparation of Board resolutions, internal approvals, statutory documents, legal registers, and
governance records. - Maintain legal and compliance trackers for key deadlines, renewals, filings, licenses, and regulatory updates.
- Assist in rolling out compliance training to managers and partners.
C. Investigation and Disciplinary Support
- Support internal investigations relating to fraud, misconduct, conflict of interest, theft, policy violations, data leakage, and supplier misconduct.
- Assist with evidence collection, document review, interview preparation, case chronology, investigation
reports, and disciplinary documentation. - Coordinate with People & Culture and Operations to ensure disciplinary processes are properly documented and procedurally fair.
- Escalate material cases to CFO, CEO, BOD, or external counsel when needed.
D. Intellectual Property and Brand Protection
- Support trademark registration, IP monitoring, brand protection, and coordination with external counsel.
Maintain records of trademarks, copyrights, trade secrets, confidential documents, NDAs, and IP-related
cases. - Support actions against copycat businesses, misuse of confidential information, and breach of NDA.
E. Data Protection and Technology Compliance
- Support compliance with personal data protection requirements relating to employee data, guest data, CCTV,
- POS data, loyalty data, and vendor data.
- Work with IT and business teams on data access control, data retention, consent forms, vendor data clauses, and incident documentation.
- Assist in reviewing technology vendor contracts from a legal and data protection perspective.
F. AI and Legal Function Improvement
- Use AI tools to improve legal research, contract review, policy drafting, legal summaries, compliance
checklists, and internal legal Q&A. - Build and maintain a legal knowledge base for common legal questions, templates, clauses, and guidance
notes. - Propose simple automation for recurring legal tasks, such as contract intake, approval tracking, license
renewal reminders, and compliance training records. - Help create internal guidelines for safe AI use in legal work, including confidentiality, data protection, accuracy review, and human approval.
- Track efficiency improvements, such as shorter contract review time, fewer repeated questions, and better
document standardization.
WHO YOU ARE
- Bachelor’s degree in Law.
- Minimum 8–12 years of legal experience, preferably with strong in-house experience.
- Experience in F&B, retail, hospitality, consumer goods, real estate, or multi-site operations is preferred.
- Good knowledge of commercial contracts, labor law, corporate governance, licensing, compliance,
- investigation support, data protection, and dispute management.
- Experience coordinating with external lawyers and cross-functional business teams.
- Practical understanding of AI tools, legal technology, document management, and workflow improvement.
- Good English communication and drafting skills.
- Vietnamese legal experience is required; exposure to regional legal matters is a plus.
